These Terms & Conditions (“Terms”) govern your use of services provided by Argyle Group Inc. d/b/a Liberty Bancard (“Liberty Bancard,” “we,” “our,” “us”). By applying for or using our merchant services, you agree to these Terms.

1. Services

Liberty Bancard provides payment processing and related merchant services, including but not limited to credit/debit card processing, ACH transfers, point-of-sale systems, and fraud prevention tools.

2. Eligibility

You must:

  • Be at least 18 years old.

  • Have legal authority to bind your business.

  • Pass our underwriting and risk review process.

3. Merchant Responsibilities

You agree to:

  • Provide accurate and complete information during onboarding.

  • Use our services only for lawful transactions.

  • Maintain compliance with PCI DSS and card brand rules.

  • Promptly notify us of any security breaches or suspicious activity.

4. Fees & Payments

  • Fees will be disclosed in your merchant agreement.

  • You authorize us to deduct applicable fees from your settlement account.

  • Chargebacks, reversals, and penalties may be passed through to you.

5. Prohibited Activities

You may not use our services for:

  • Illegal products/services.

  • High-risk activities without prior written approval.

  • Transactions in violation of card network rules.

6. Termination

We may suspend or terminate your account:

  • For breach of these Terms.

  • For excessive chargebacks or fraud.

  • As required by our banking partners or regulators.

7. Liability & Disclaimers

  • We are not liable for indirect or consequential damages.

  • We do not guarantee uninterrupted or error-free service.

  • Your sole remedy is to discontinue using our services.

8. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your use of our services or violation of these Terms.

9. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law.

10. Dispute Resolution

Any disputes will be resolved through binding arbitration in Miami, Florida, unless prohibited by law.

11. Changes to Terms

We may modify these Terms at any time.
Your continued use after changes constitutes acceptance.
